Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vivid ("Vivid," "we," "us," or "our"), including the website at govivid.app, APIs, MCP tools, and all related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.
2. Account Registration and Security
- You must sign in using a supported third-party authentication provider (currently Google or GitHub).
- You are responsible for all activity that occurs under your account.
- You must safeguard your API keys. API keys grant full access to your projects and should be treated like passwords. We are not liable for unauthorized access resulting from compromised API keys.
- If you become aware of any unauthorized use of your account, you must notify us immediately at karim@govivid.app.
- You may not create accounts using automated methods, share accounts between multiple individuals, or create accounts for the purpose of violating these Terms.
3. The Service
Vivid is a design preview and iteration platform for AI coding agents. The Service allows you to:
- Create projects and push design context (component source code, screens, design tokens) via AI agents
- View interactive, sandboxed previews of design variants generated by your agent
- Annotate design variants with feedback that your agent can retrieve
- Approve variants for implementation in your codebase
- Track revision history and the design iteration workflow
The Service is a tool for visualization and workflow management. Vivid does not generate, modify, or execute code on your behalf. Your AI agent (e.g., Claude Code, Cursor) is a separate product not operated by Vivid. We are not responsible for any code your agent generates, and you use such code at your own risk.
4. Your Content
4.1 Ownership
You retain all rights, title, and interest in and to the content you (or your authorized agents) upload, push, or create through the Service ("Your Content"), including component source code, variant code, annotations, design tokens, and project metadata. Vivid does not claim any ownership of Your Content.
4.2 License to Vivid
By uploading or pushing content to the Service, you grant Vivid a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit Your Content solely as necessary to provide and operate the Service. This license continues until you delete the content or your account, at which point we will delete Your Content within a reasonable timeframe (typically within 30 days, except for backup copies which may persist for up to 90 days).
4.3 Your Representations
You represent and warrant that:
- You own or have the necessary rights to all content you push to the Service
- Your Content does not violate any third party's intellectual property rights, privacy rights, or other legal rights
- Your Content does not contain malicious code designed to damage, interfere with, or gain unauthorized access to any system
- Your Content complies with all applicable laws and regulations
4.4 Content in Previews
Design variant previews are rendered in sandboxed iframes. While we do not publicly index or list variant URLs, variant renderer URLs are not currently authenticated. Anyone with a direct link may be able to view the rendered output. Do not include sensitive data (credentials, personal information, trade secrets) directly in variant code unless you accept this risk. We plan to add renderer access controls in a future update.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload, push, or render content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Upload or render content that exploits minors in any way
- Distribute malware, viruses, or any code designed to harm or exploit
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems
- Reverse engineer, decompile, or disassemble any part of the Service (except as permitted by applicable law)
- Use the Service to build a competing product or service
- Scrape, crawl, or use automated means to access the Service beyond the provided APIs and MCP tools
- Circumvent any rate limits, access controls, or security measures
- Impersonate another person or entity
- Use the Service for cryptocurrency mining, denial-of-service attacks, or other resource-abuse activities
- Use the Service to store or transmit content that infringes intellectual property rights
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.
6. Intellectual Property
6.1 Vivid's Rights
The Service, including its design, code, features, documentation, logos, and trademarks, is owned by Vivid and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
6.2 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback for any purpose without obligation to you.
7. DMCA and Copyright Complaints
We respect the intellectual property rights of others. If you believe that content hosted on the Service infringes your copyright, please send a written notification to our designated agent with the following information:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material claimed to be infringing and information sufficient to locate it on the Service
- Your contact information (address, phone number, email)
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

We will respond to valid notices in accordance with the Digital Millennium Copyright Act (DMCA) and may remove or disable access to the allegedly infringing material. Repeat infringers may have their accounts terminated.
8. Third-Party Services
The Service integrates with third-party services (Google, GitHub, AI coding agents). Your use of these services is governed by their respective terms and privacy policies. Vivid is not responsible for the content, practices, or availability of any third-party service.
Design previews may load resources from third-party CDNs (esm.sh, Tailwind CSS CDN) to render components. These resources are loaded in sandboxed iframes and are subject to their providers' terms of service.
9. Service Availability and Modifications
- We provide the Service on an "as available" basis and do not guarantee uninterrupted or error-free operation.
- We may modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice. We will make reasonable efforts to notify you of material changes.
- We may impose usage limits or rate limits to ensure fair use and platform stability.
- Scheduled maintenance windows will be communicated in advance when practicable.
10. Termination
10.1 By You
You may stop using the Service at any time. You may delete your projects and revoke your API keys through the Service. To request complete account deletion, contact karim@govivid.app.
10.2 By Vivid
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination include, but are not limited to:
- Violation of these Terms or the Acceptable Use Policy
- Conduct that we determine is harmful to other users, the Service, or third parties
- Extended periods of account inactivity
- Requests by law enforcement or government agencies
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete Your Content within a reasonable timeframe following termination. Sections of these Terms that by their nature should survive termination will survive, including but not limited to: intellectual property, limitation of liability, indemnification, and dispute resolution.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- Any content rendered through the Service (including design variant previews) will be accurate, reliable, or suitable for production use
- Any code generated by your AI agent and displayed through the Service will be free of errors, security vulnerabilities, or legal issues
- Any defects will be corrected
You acknowledge that design previews rendered through the Service are for visualization and review purposes only. You are solely responsible for reviewing, testing, and validating any code before using it in production.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIVID, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
- Your use of or inability to use the Service
- Any code generated by AI agents and rendered through the Service
- Unauthorized access to or alteration of your data or content
- Any third-party conduct on or related to the Service
- Any other matter relating to the Service
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VIVID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Vivid, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your Content, including any claims that Your Content infringes or violates any third-party rights
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any code generated by your AI agent that causes harm to third parties
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
14.2 Informal Resolution
Before filing any formal dispute, you agree to first contact us at karim@govivid.app and attempt to resolve the dispute informally for at least 30 days.
14.3 Binding Arbitration
If we cannot resolve a dispute informally, you and Vivid agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Delaware or, at your election, by video conference. The arbitrator's decision shall be final and binding.
14.4 Class Action Waiver
YOU AND VIVID AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
14.5 Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
15. General Provisions
- Entire Agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and Vivid regarding the Service.
- Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
- Waiver — our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment — you may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Notices — we may provide notices to you via the email associated with your account or through the Service. Notices to us should be sent to karim@govivid.app.
- Force Majeure — Vivid shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
16. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. For significant changes, we may also notify you via email or through a notice within the Service. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
